By accessing or using any websites, platforms, or digital services (including social media) operated by Grayson Empire or its affiliates (collectively, the “Site” or “Services”), you agree to these Terms of Use (“Terms”). If you do not accept these Terms, you must immediately cease use of the Services.

1. Scope & Acceptance

1.1 These Terms govern your use of all content, functionality, and services provided through the Site.
1.2 We may revise or update these Terms at any time in our discretion. Changes become effective when posted. Your continued use after changes indicates your acceptance.
1.3 Use of the Services is subject to the Grayson Empire Privacy Policy (or other applicable data/privacy policies).

2. Intellectual Property

2.1 Copyrights / Ownership. All content, materials, designs, logos, frameworks, methodologies, data, software, code, and other intellectual property (“Site Content”) on the Services are owned by Grayson Empire or its licensors, and are protected under applicable copyright, trademark, and other intellectual property laws.
2.2 Trademarks. The names “Grayson Empire,” its logos, taglines, and related designs are trademarks or service marks of Grayson Empire or its licensors. You agree not to use, reproduce, or refer to our trademarks in any manner that may cause confusion, imply endorsement, or dilute our brand, without our prior written consent.
2.3 License for Use. Grayson Empire grants you a limited, non-exclusive, revocable, non-transferable license to access, display, download, and print one copy of Site Content solely for your internal, non-commercial use, provided you retain all copyright and proprietary notices and abide by these Terms. Any other use (reproduction, modification, distribution, creation of derivative works, reverse engineering, scraping, or extraction) is prohibited except with express written permission.
2.4 This license terminates automatically if you breach these Terms.

3. Permitted & Prohibited Use

3.1 You must use the Services only for lawful purposes and in compliance with all applicable laws and regulations (including export controls, sanctions, and intellectual property laws).
3.2 Prohibited activities include (but are not limited to):

Unauthorized access, interference, or disruption of the Services or underlying systems; Use of automated scripts, bots, crawlers, scrapers, or data mining tools without express permission; Using the Site Content to develop or train machine learning, AI systems, or other automated processes (unless expressly permitted); Mirroring, framing, or embedding the Site’s content without authorization;

Posting, transmitting, or distributing unlawful, defamatory, infringing, obscene, or malicious content; Impersonating individuals or entities or misrepresenting affiliations.

4. User Submissions & Public Content

4.1 If you post, upload, submit, or otherwise make available content (e.g., comments, feedback, surveys) (“User Submissions”), you grant Grayson Empire a worldwide, royalty-free, perpetual, irrevocable, sublicensable right to use, reproduce, modify, publish, distribute, or otherwise exploit such Submissions for any lawful purpose.
4.2 You represent and warrant that your Submissions do not infringe on third-party rights and comply with these Terms.
4.3 Grayson Empire may review, moderate, remove, or refuse any submissions at our discretion.
4.4 You waive any claims against Grayson Empire relating to privacy, publicity, attribution, or moral rights in connection with our use of your Submissions.

5. Third-Party Content & Links

5.1 The Site may contain links to or embed content from third-party websites, services, or platforms. These are provided for convenience; Grayson Empire does not endorse, guarantee, or control third-party content, and is not responsible for it.
5.2 Your access and use of third-party services are subject to their terms and policies.

6. Disclaimers & No Professional Advice

6.1 All content on the Site is provided “as is” and “as available.” Grayson Empire disclaims all warranties, express or implied, including but not limited to implied merchantability, fitness for a particular purpose, or non-infringement.
6.2 The content is for general informational purposes only and is not intended as legal, financial, tax, investment, or professional advice. Your reliance on Site Content is at your own risk.
6.3 Grayson Empire does not warrant the accuracy, completeness, or reliability of any content or that access to the Site will be uninterrupted or error-free.

7. Limitation of Liability

To the fullest extent permitted by law, neither Grayson Empire nor its officers, directors, agents, employees, or affiliates shall be liable for any damages (direct, indirect, incidental, consequential, punitive, lost profits, or otherwise) arising out of or related to your use of (or inability to use) the Site, or reliance on any content, whether in contract, tort, strict liability, or otherwise, even if advised of the possibility of damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Grayson Empire and its affiliates, officers, directors, employees, agents, licensors, and representatives from and against all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:

Your breach of these Terms;

Your use or misuse of the Site;

Your violation of any laws or rights of a third party.

9. Governing Law & Dispute Resolution

These Terms and any disputes arising out of them shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles.
You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the appropriate courts located in Montreal, Quebec, and you irrevocably consent to the jurisdiction and venue of such courts.

10. Termination & Suspension

Grayson Empire may, at its sole discretion, suspend or terminate your access to all or part of the Services at any time, without notice, for any reason, including breach of these Terms.
Upon termination, your license to use the Site and any rights granted under these Terms immediately cease. Sections of these Terms that by their nature should survive termination (e.g., intellectual property, disclaimers, indemnity, limitation of liability, governing law) will continue in effect.

11. Severability

If any provision of these Terms is held invalid or unenforceable in a particular jurisdiction, the remainder of the Terms shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by an enforceable substitute provision that comes closest to its intent.

12. Entire Agreement

These Terms (together with the Privacy Policy and any other applicable legal notices) constitute the entire agreement between you and Grayson Empire regarding your use of the Services, superseding all prior or contemporaneous agreements, understandings, or representations.
